Creator Agreement

3.1 Creator Obligations

As a Creator, you represent and warrant that:

• All content you publish through your Skill is original or you have the necessary rights and permissions to distribute it
• Your Skill does not constitute personalized investment advice directed at any individual user
• You will not make guarantees of returns, profits, or trading performance in any Skill description, output, or marketing material
• You will comply with all applicable laws and regulations, including but not limited to securities laws, in the jurisdictions where your subscribers are located
• You will not engage in market manipulation, front-running, or any other prohibited trading practice
• You acknowledge that all alerts you publish are logged immutably by the Platform and cannot be edited or deleted after publication
• You will maintain the accuracy and quality of your Skill outputs and will promptly disable your Skill if you are unable to maintain service quality

3.2 Revenue and Payments

Creators set their own Skill prices within the range permitted by the Platform ($0 to $50 per month). For paid Skills, Marvane retains twenty-five percent (25%) of gross subscriber revenue as a platform fee. The Creator receives seventy-five percent (75%) of gross subscriber revenue, less any applicable payment processing fees, taxes, and chargebacks.

Payments are processed by Polar (polar.sh), which acts as the Merchant of Record and handles all tax calculation, collection, and remittance. Payouts are made monthly in accordance with Polar's standard payout schedule. Marvane reserves the right to withhold payouts if there are suspected violations of this Agreement or pending disputes.

3.3 Cloud Hosting (Optional)

Creators may optionally use Marvane's cloud infrastructure to execute their Skill logic. Cloud-hosted Skills incur token costs at pass-through pricing plus a five percent (5%) service fee. Token costs are deducted from the Creator's payout.

The Creator is responsible for monitoring their token usage and setting appropriate usage caps. Marvane reserves the right to suspend cloud execution if usage exceeds reasonable limits or if the Skill generates excessive costs without corresponding subscriber revenue.

3.4 Track Record and Immutability

All structured outputs published by a Skill (including alerts with entry, stop, and target prices) are logged by the Platform with timestamps and cannot be modified or deleted by the Creator.

The Platform automatically monitors and records the outcomes of alerts (WIN, LOSS, EXPIRED) and calculates track record statistics (win rate, average gain, average loss, Sharpe ratio). These statistics are displayed publicly on the Skill's marketplace listing.

The Creator acknowledges that this immutable track record is a core feature of the Platform and consents to its calculation and public display.

3.5 Termination

Either party may terminate this Agreement at any time. Upon termination by the Creator, existing subscriber commitments will be honored through the end of their current billing period.

Marvane may terminate a Creator's access immediately if the Creator violates this Agreement, the Terms of Service, or any applicable law. Upon termination, the Creator's Skill will be deactivated, but the historical track record and published outputs will remain on the Platform as part of the immutable record.

3.6 Indemnification

The Creator agrees to indemnify, defend, and hold harmless Marvane from any claims, liabilities, damages, losses, costs, or expenses arising from or related to the Creator's Skill, including any claims by subscribers, regulatory bodies, or third parties based on the Creator's outputs, representations, or conduct.
